Terms & Conditions

The terms that govern use of the ZTech website and the software development and design services we provide.

Last updated

These Terms & Conditions ("Terms") govern your use of the ZTech website (the "Website") and, unless a signed agreement says otherwise, the services we provide. By using the Website or engaging us, you agree to these Terms.

Use of the Website

You agree to use the Website lawfully and not to:

  • Attempt to gain unauthorised access to the Website, its servers or data
  • Introduce malware or interfere with how the Website works
  • Send spam, misleading or unlawful content through our forms
  • Copy or reuse our content for commercial purposes without permission

Our services

We provide software development, app development, cloud, e-commerce and design services. The scope, deliverables, timeline, fees and payment schedule for each project are set out in a proposal, statement of work or agreement ("Project Agreement"). If a Project Agreement conflicts with these Terms, the Project Agreement applies.

Quotes and proposals

Quotes are estimates based on the information available at the time and are valid for 30 days unless stated otherwise. Changes to agreed scope are handled through a written change request and may affect cost and timeline.

Fees and payment

  • Projects usually start with an advance payment, with the rest billed against milestones or monthly.
  • Invoices are due within the period stated on the invoice, typically 7 days.
  • Prices exclude applicable taxes such as GST, which are added where required.
  • We may pause work if invoices remain unpaid past the due date.

See our Refund & Cancellation Policy for refunds and cancellations.

Client responsibilities

You agree to provide timely feedback, content, approvals and access to the accounts and systems we need. Delays in these may move the timeline. You confirm that any material you supply (text, images, logos, data) is yours to use or properly licensed.

Intellectual property

  • Deliverables: once all fees for a project are paid in full, ownership of the final custom deliverables passes to you, unless the Project Agreement says otherwise.
  • Our tools: we keep ownership of our pre-existing code, libraries, frameworks, know-how and templates, and grant you a perpetual licence to use them as part of the deliverables.
  • Third-party assets: fonts, stock media, plugins, open-source software and platforms such as Shopify remain subject to their own licences and terms.
  • Portfolio: unless you ask us not to in writing, we may show the finished work and your name or logo in our portfolio.

Confidentiality

Both parties will keep confidential any non-public business, technical or financial information shared during a project and use it only for that project. We are happy to sign a separate NDA on request.

Third-party services

Projects often rely on hosting, payment gateways, app stores, APIs and other third-party services. We are not responsible for their availability, pricing changes, policies or outages, though we will help you work through them.

Warranties

We perform our services with reasonable skill and care. After launch we fix defects in our work reported within the warranty period stated in the Project Agreement. Apart from this, the Website and services are provided "as is", and we do not guarantee specific business results such as revenue, rankings or traffic.

Limitation of liability

To the extent permitted by law, we are not liable for indirect, incidental or consequential losses, including lost profits, data or business opportunities. Our total liability arising from any project is limited to the fees you paid us for that project in the 12 months before the claim.

Indemnity

You agree to indemnify us against claims arising from content or materials you supply, or from your breach of these Terms.

Termination

Either party may end a project as described in the Project Agreement. On termination you pay for work completed up to that date, and we hand over the completed work once that payment is received.

Governing law

These Terms are governed by the laws of India. Disputes will first be discussed in good faith, and if not resolved within 30 days, will be subject to the exclusive jurisdiction of the courts of India.

Changes to these Terms

We may update these Terms from time to time. The version published on this page applies from its "Last updated" date.
